The following website terms and conditions (“Terms”) govern your access to and use of the Clearwater website (the “Website”) including any content, functionality and services offered on or through http://www.clearwatereditorial.co.uk.  Clearwater Editorial is referred to as ‘we’ or ‘us’ and ‘you or ‘user’ means you as a user of the Website. The term “Services” means the copy-editing and proofreading services offered by us (as described on the Website) subject to you entering into a Services Agreement with us.

2. ACCEPTANCE OF TERMS

By using or accessing the Website you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Website.

3. ACCESS AND USE OF WEBSITE

We grant you a non-exclusive, non-transferable, revocable licence to access and use the Website for your personal, non-commercial use, subject to your compliance with these Terms.
You must not:

  • use the Website in a way that causes, or may cause, damage to the Website or impairment of its availability or accessibility;
  • use the Website in a manner inconsistent with any applicable laws or regulations; or
  • attempt to access restricted parts of the Website without authorisation.

We reserve the right to withdraw or amend the Website, and any service or material we provide, at our sole discretion without notice. We will not be liable if for any reason the Website is unavailable at any time or for any period.

The Website describes the Services we offer: professional copy­editing and proofreading aimed at refining clients’ writing for clarity, readability, impact, grammar, spelling and formatting.
These Terms do not themselves constitute a contract for provision of the Services. You will need to enter into a separate Service Agreement with us if you wish to engage us to carry out editing or proofreading work. We will provide the Services with reasonable care and skill. However, we do not guarantee any specific outcome in terms of editorial success, commercial results, or audience conversion.

6. PAYMENT AND FEES (IF APPLICABLE)

Where Services are engaged, our fees, payment terms and invoicing will be set out in the Service Agreement which we enter into with you.
Unless otherwise stated, all amounts are exclusive of VAT. Clearwater Editorial Limited is not VAT registered.
If payment is not made by the due date, we reserve the right to suspend delivery of Services and/or charge interest on outstanding amounts at a rate of 4% above the Bank of England base rate.

7. CANCELLATIONS AND REFUNDS

Customers who wish to cancel projects must do so in writing by emailing hello@clearwatereditorial.co.uk.

Refunds following cancellation of a project will be subject to the terms of the Services Agreement you enter into with us. Unless otherwise agreed in writing, deposits are non-refundable and we reserve the right to charge fees for work already completed up to the cancellation point on a pro rata basis.

8. LIABILITY

We take steps to ensure the Website and the Services are provided with reasonable skill and care, but we do not warrant that the Website will be error-free or uninterrupted, nor that the Services will achieve any particular result.
To the fullest extent permitted by law, we exclude all liability for (i) loss of profit, loss of business, loss of anticipated savings, loss of data, or any indirect or consequential loss and (ii) any loss or damage arising from your use of the Website or reliance on its content.

Our total liability to you under or in connection with these Terms or the provision of Services shall not exceed the amount you have paid us for the relevant Services in the 12 months preceding the event giving rise to liability.

The Website may contain links to external websites which are not under our control. We do not assume responsibility for the content or availability of any linked external website, nor for any losses you may incur from using them.
